TERMS OF USE

Agreement to These Terms
These Terms of Use (“Terms”) govern your access to and use of prosper-bloom.com and any related pages, landing pages, forms, portals, and online content we operate (the “Site”), which is owned and operated by Prosper & Bloom Mental Health, Inc. (“Prosper & Bloom,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms apply to the Site. Clinical care is governed separately by the consent forms, financial agreement, telehealth consent, and practice policies you sign as a patient. Coaching is governed separately by the coaching services agreement you sign as a coaching client. If those documents conflict with these Terms, those documents control for that service.
2. Medical Emergencies
The Site is not for emergencies, and we do not monitor it around the clock.
If you are experiencing a medical or psychiatric emergency, or if you are thinking about harming yourself or someone else:
- Call 911 or go to your nearest emergency room
- Call or text 988 to reach the Suicide & Crisis Lifeline
- Text HOME to 741741 to reach the Crisis Text Line
Do not use website forms, email, or messaging to report an emergency. Messages sent through the Site are not read in real time.
3. No Medical Advice; No Provider-Patient Relationship
The content on the Site — including articles, educational pages, blog posts, downloadable resources, and any information in our ADHD education library — is provided for general educational and informational purposes only. It is not medical advice, a diagnosis, a treatment recommendation, or a substitute for care from a qualified health professional who knows your situation.
Using the Site, reading our content, or submitting a form does not create a provider-patient relationship. A provider-patient relationship is established only after you have completed our intake process, signed the required consents, been accepted as a patient, and been seen by one of our clinicians.
Always seek the advice of your physician, nurse practitioner, or other qualified provider with questions about a medical or mental health condition. Never disregard professional advice or delay seeking it because of something you read on the Site.
4. Licensure and Where We Practice
Prosper & Bloom provides clinical services in Louisiana, to individuals physically located in Louisiana at the time of service. Content on the Site is not an offer to provide clinical services in any jurisdiction where we are not licensed.
Clinical services are delivered in person at our Baton Rouge office and by telehealth. If you are interested in becoming a patient, we will confirm eligibility during intake.
5. Telehealth
If you receive services by telehealth, you will be asked to review and sign a separate telehealth consent before your first appointment. Telehealth has benefits and limitations, including the possibility of technical failure, and it is not appropriate for every presentation or every level of clinical acuity. We may determine that in-person care, a higher level of care, or a referral is clinically necessary, and we may decline or discontinue telehealth on that basis.
You are responsible for having a private location, a reliable internet connection, and a compatible device for telehealth visits.
6. Coaching Services Are Not Clinical Services
Prosper & Bloom offers executive function and academic coaching for college students, marketed under the name “Prosper & Bloom University.”
Please understand the following:
- “Prosper & Bloom University” is a brand name for our coaching program. It is not a school, college, university, or educational institution. We do not grant degrees, credits, certificates, diplomas, or any academic credential, and we are not accredited by any educational accrediting body.
- Coaching is not psychotherapy, counseling, psychiatric treatment, diagnosis, or medical care. Coaches do not diagnose conditions, do not prescribe or manage medication, and do not provide crisis services. Coaching is a goal-directed, skills-and-systems service focused on organization, planning, study systems, and accountability.
- Coaching is not covered by insurance and is not billed to insurance. It is a private-pay service.
- Coaching does not guarantee any academic outcome. We cannot and do not promise improved grades, retained scholarships, removal from academic probation, graduation, admission, or any other result. Outcomes depend heavily on your own participation and on factors outside our control.
- Records of purely non-clinical coaching may not be medical records and may be handled under the coaching services agreement rather than under our Notice of Privacy Practices. If you receive both coaching and clinical care from us, your clinical record is protected as PHI.
- Coaching is available to students under 18 only with the signature and involvement of a parent or legal guardian, who is responsible for payment and for the terms of the coaching agreement.
If at any point a coach believes you would be better served by clinical evaluation or treatment, we will tell you and offer a referral, which may include referral within our own practice.
7. Fees, Payment, and Cancellations
Fees for clinical services depend on your insurance coverage and the service provided, and are explained in the financial agreement you sign at intake. Fees for coaching are published on the Site and confirmed in your coaching agreement.
Where we describe pricing on the Site, prices are current as of posting and are subject to change. In case of a conflict, the price stated in your signed agreement controls.
For coaching, you authorize us to charge the payment method you keep on file according to the schedule in your coaching agreement. Cancellation, no-show, rescheduling, package installment, and early-exit terms are set out in that agreement. For clinical services, cancellation, no-show, and prescription-related administrative fees are set out in our practice policies.
Prosper & Bloom does not provide financial, tax, legal, or academic advising services.
8. Communications and Consent to Contact
By providing your email address or phone number, you consent to receive communications from us related to your inquiry, appointments, and care or coaching, including appointment reminders and administrative messages.
- Text messages: message and data rates may apply. Reply STOP to opt out or HELP for help.
- Marketing email: you may unsubscribe at any time using the link in any marketing message.
- Secure communication: clinical information should be exchanged only through our patient portal or our approved secure messaging platform, not through website forms, general email, or SMS.
You are responsible for keeping your contact information current and for maintaining the confidentiality of your portal credentials.
9. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Impersonate any person, or misrepresent your identity, age, location, or relationship to a patient or student
- Submit false, misleading, or fraudulent information, including on intake or insurance forms
- Attempt to gain unauthorized access to any portion of the Site, our portal, our systems, or another person’s account
- Introduce malware, attempt to disrupt or overload the Site, or probe or scan our systems
- Scrape, harvest, mine, or copy Site content by automated means, or use Site content to train machine learning models, without our written permission
- Post or transmit content that is defamatory, harassing, abusive, obscene, or that infringes the rights of others
- Use the Site to advertise or solicit
We may suspend or terminate access to the Site or to any portal account at any time, with or without notice, for conduct we believe violates these Terms or is harmful to us, to our patients, or to others.
10. Intellectual Property
The Site and its contents — including text, articles, educational materials, graphics, logos, brand names, layouts, images, and the design of the Site — are owned by Prosper & Bloom Mental Health, Inc. or its licensors and are protected by copyright, trademark, and other laws.
“Prosper & Bloom,” “Prosper & Bloom Mental Health,” “Prosper & Bloom University,” and our logos are our marks. You may not use them without our prior written permission.
You may view, download, and print Site content for your own personal, non-commercial use, provided you keep all copyright and other notices intact. Any other use — including reproduction, distribution, modification, republication, or creation of derivative works — requires our prior written permission.
11. Content You Submit
If you submit content to us through the Site — including testimonials, reviews, comments, or feedback — you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with our services and marketing. You represent that you have the right to submit it and that it does not violate anyone else’s rights.
Please do not include health information, another person’s identifying information, or anything you would not want made public in content you submit for public display. We will not publish a testimonial that identifies you as a patient without your separate, signed written authorization, and you may revoke that authorization at any time going forward.
12. Third-Party Sites and Services
The Site links to third-party websites and services, including our patient portal, scheduling and payment tools, and outside educational resources. We do not control those services, do not endorse them by linking to them, and are not responsible for their content, accuracy, availability, or privacy and security practices. Your use of a third-party service is governed by that provider’s terms.
13. Accessibility
We want the Site to be usable by everyone, including people with disabilities, and we work toward conformance with recognized accessibility standards. If you encounter a barrier on the Site or need information in an alternative format, contact us at contact@prosper-bloom.com or 225-605-3103 and we will work with you to provide the information or service you need.
14. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site is free of harmful components. We do not warrant the accuracy, completeness, or currency of educational content on the Site, which may become out of date.
Nothing in this section limits any obligation we owe you as a patient under applicable law or professional standards.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROSPER & BLOOM MENTAL HEALTH, INC. AND ITS OFFICERS, CLINICIANS, CONTRACTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
This section applies to claims arising from the Site. It does not apply to, and does not limit, any claim arising from the provision of professional clinical services, and it does not limit liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Prosper & Bloom Mental Health, Inc. and its officers, clinicians, contractors, employees, and agents from any claims, damages, losses,
liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of the rights of another person.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules.
Informal resolution first. If you have a concern, please contact us at contact@prosper-bloom.com before filing any claim. We will try in good faith to resolve it with you within 30 days.
Venue. If a dispute is not resolved informally, you agree that it will be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana, and you consent to the personal jurisdiction of those courts.
This section does not prevent either party from seeking injunctive relief, and it does not apply to any claim that must be brought elsewhere under Louisiana medical malpractice law or other mandatory law.
18. General Provisions
Severability. If any provision of these Terms is found unenforceable, the rest remain in full effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with our Privacy Policy and Notice of Privacy Practices, are the entire agreement between you and us regarding the Site.
Changes. We may update these Terms at any time. The “Last Updated” date will change, and the updated Terms take effect when posted. Your continued use of the Site means you accept them.
